The fine print - written to be read.

1. Definitions

In these Terms, the following definitions apply:

• "Platform" means the TradeMire web application, APIs, mobile applications, and any associated software or services.
• "Account" means the personal user account created to access the Platform.
• "Exchange" means any third-party cryptocurrency exchange connected to the Platform via API.
• "API Key" means the authentication credentials used to connect your Exchange account(s) to the Platform.
• "Bot" means any automated trading strategy, signal, or algorithm configured and executed through the Platform.
• "Subscription Plan" means the selected tier of service (Explorer, Silver, Gold, Platinum, or Diamond) and associated features and limits.
• "Vault" means a portfolio view on the Platform that mirrors and reflects assets held in your own exchange accounts; TradeMire does not custody these assets.
• "User Content" means strategies, configurations, custom indicators, and other data created by you on the Platform.
• "Third-Party Services" means any external service, exchange, data feed, or software integrated with or accessible through the Platform.

2. Eligibility

To use TradeMire, you must: (a) be at least 18 years old or the age of legal majority in your jurisdiction; (b) have the legal capacity to enter into a binding agreement; (c) not be located in or a citizen of a jurisdiction subject to comprehensive sanctions; (d) comply with all applicable laws in your jurisdiction.

By registering an account, you represent and warrant that all of the above conditions are met. If any condition ceases to be true, you must immediately cease using the Platform.

3. Account Registration and Security

To access certain features, you must create an Account. You agree to:

• Provide accurate, current, and complete information during registration and maintain its accuracy.
• Create a strong, unique password and enable multi-factor authentication (MFA) where available.
• Maintain the confidentiality of your Account credentials and API Keys at all times.
• Not share your Account with any third party or allow others to access it.
• Notify us immediately at security@trademire.ai upon discovering any unauthorized use or security breach.
• Accept sole responsibility for all activities conducted under your Account, whether authorized or not.
• You may not use the Platform to manage third-party cryptocurrency holdings or funds without explicit disclosure and applicable regulatory licensing.

4. Description of Services

TradeMire provides a software-as-a-service (SaaS) platform for cryptocurrency trading analytics, portfolio management, automated strategies, and market data aggregation across connected exchanges.

TradeMire is an overlay technology provider. We do not custody, hold, or manage your funds. Your assets remain on your connected Exchange(s) at all times.

5. Exchange Connections and API Keys

To execute trades, you must connect one or more Exchange accounts via API Keys. You acknowledge and agree to the following:

• API Keys must be configured with trade-only permissions. We strongly recommend disabling withdrawal permissions on all keys connected to the Platform.
• You are solely responsible for the security of your API Keys. TradeMire encrypts all keys using AES-256 at rest and transmits them only over TLS 1.3.
• TradeMire is not responsible for the availability, performance, security, policies, or actions of any connected Exchange.
• If an Exchange suspends, restricts, or terminates your account, TradeMire bears no liability for any resulting losses.
• You must comply with the terms of service of each connected Exchange in addition to these Terms.
• Upon disconnecting an Exchange from the Platform, your API Keys are immediately and permanently deleted from our systems.

6. Subscription Plans, Fees, and Payment

Certain features require a paid Subscription Plan. Current pricing is displayed on our pricing page at trademire.ai/pricing.

• Fees are charged in advance on a monthly or annual basis, depending on your selected billing cycle.
• Subscription Plans renew automatically at the end of each billing period unless cancelled at least 24 hours before renewal.
• Prices may be updated with at least 30 days written notice. Continued use after the effective date constitutes acceptance.
• All fees are exclusive of applicable taxes (VAT, GST, etc.) which will be added where required by law.
• Payments are processed through third-party payment providers. TradeMire does not store your payment card details.
• Refunds are not granted as a general policy. Exceptions may be made at our sole discretion for documented technical failures.
• Failure to pay may result in suspension or termination of your access to paid features.

7. Free Trial

We may offer free trial periods for paid Subscription Plans at our discretion. Trial duration, terms, and eligible features are specified at the time of offer. Trials convert automatically into a paid subscription at the end of the trial unless cancelled.

8. Automated Trading and Risk Acknowledgment

BY USING THE PLATFORM'S AUTOMATED TRADING FEATURES, INCLUDING BUT NOT LIMITED TO BOTS, STRATEGIES, VAULTS, AND SIGNAL EXECUTION, YOU EXPRESSLY ACKNOWLEDGE AND ACCEPT ALL RISKS INHERENT TO ALGORITHMIC CRYPTOCURRENCY TRADING.

Cryptocurrency trading involves substantial risk of loss. Markets are highly volatile, operate 24/7, and can experience flash crashes, exchange outages, and liquidity gaps that may amplify losses on automated systems.

Past performance of any strategy, bot, or vault - whether provided by TradeMire or third parties - does not guarantee future results.

Automated trading systems may malfunction, execute trades based on outdated or erroneous data, or behave unexpectedly during extreme market conditions.

TradeMire does not guarantee any level of trading performance, profit, or return on investment. We are not liable for trading losses or missed opportunities.

You are solely responsible for configuring, monitoring, and managing your trading strategies. It is your responsibility to set risk limits and review activity regularly.

9. Acceptable Use and Prohibited Activities

You agree to use the Platform only for its intended purpose and in compliance with all applicable laws. You must not:

• Use the Platform for any unlawful purpose or in violation of any applicable local, national, or international law or regulation.
• Engage in market manipulation, wash trading, spoofing, layering, front-running, or any form of fraudulent or deceptive trading practice.
• Use the Platform to manage, trade, or otherwise handle cryptocurrency holdings belonging to third parties without proper licensing.
• Attempt to gain unauthorized access to any part of the Platform, other user accounts, servers, or systems.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Platform.
• Introduce malicious software, viruses, or any code designed to interfere with the Platform's operation.
• Use the Platform in a manner that could overload, damage, or impair our infrastructure or interfere with other users.
• Circumvent, disable, or interfere with any security, rate-limiting, or access control features.
• Scrape, harvest, or extract data from the Platform through automated means except via our authorized APIs.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

10. Intellectual Property and License

All intellectual property rights in the Platform - including software, algorithms, machine learning models, designs, trademarks, and content - are owned by TradeMire or its licensors.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal purposes.

User Content (strategies, configurations, custom indicators) that you create on the Platform remains your intellectual property. You grant us a worldwide license to host and display it as needed to operate the service.

11. Third-Party Services and Marketplace

The Platform may integrate with or provide access to Third-Party Services, including cryptocurrency exchanges, signal providers, and data feeds.

TradeMire does not control, endorse, or assume responsibility for any Third-Party Service. Their availability, accuracy, and performance are outside our control.

Your use of Third-Party Services is governed by their own terms, policies, and agreements. You are responsible for reviewing them.

Any content, signals, strategies, or recommendations provided by third parties through the Platform do not constitute investment advice from TradeMire.

TradeMire is not liable for any losses, damages, or claims arising from your use of or reliance on Third-Party Services.

12. Service Availability and Maintenance

We strive to maintain high availability of the Platform but do not guarantee uninterrupted or error-free service. The Platform is provided on an "as available" basis.

We may perform scheduled or emergency maintenance, updates, or modifications that temporarily affect access. We will provide reasonable notice for scheduled maintenance where practical.

TradeMire is not liable for any losses resulting from service interruptions, whether caused by maintenance, infrastructure failures, or third-party outages.

13. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that: (a) the Platform will meet your requirements; (b) the Platform will be uninterrupted, timely, secure, or error-free; (c) results obtained from the Platform will be accurate or reliable.

Cryptocurrency markets are insufficiently tested technology subject to rapid change. We make no representations regarding the suitability of the Platform for any specific use case.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADEMIRE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise), even if TradeMire has been advised of the possibility of such damages.

15. Indemnification

You agree to indemnify, defend, and hold harmless TradeMire, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the Platform or breach of these Terms.

16. Sanctions and Regulatory Compliance

By using the Platform, you represent and warrant that you are not: (a) listed on any sanctions list maintained by the United Nations, European Union, OFAC, HM Treasury, or any other relevant authority; (b) located in or a citizen of a comprehensively sanctioned jurisdiction.

If at any time you become subject to sanctions or reside in a sanctioned jurisdiction, you must immediately cease using the Platform and notify us.

17. Data Processing

Your personal data is processed in accordance with our Privacy Policy, which forms an integral part of these Terms. By using the Platform, you consent to such processing.

18. Force Majeure

TradeMire shall not be liable for any failure or delay in performing its obligations where such failure or delay results from causes beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, exchange outages, blockchain congestion, regulatory action, or pandemic-related disruptions.

19. Term and Termination

These Terms are effective from the date you first access or use the Platform and remain in effect until terminated.

• You may terminate your Account at any time via the Platform settings or by contacting support@trademire.ai. Active subscriptions remain billable through the current period.
• We may suspend your Account immediately if we reasonably believe you are in breach of these Terms, engaged in prohibited activities, or pose a security risk.
• We may terminate your Account with 14 days written notice for any reason, including discontinuation of the Platform.
• Accounts inactive for 24 consecutive months may be terminated after a 30-day notice period.
• Upon termination: (a) your license to use the Platform ceases immediately; (b) you must disconnect all Exchange API Keys; (c) we delete customer data in accordance with the Privacy Policy.

20. Dispute Resolution

In the event of a dispute arising from or relating to these Terms, the parties agree to first attempt resolution through good-faith negotiation.

If the dispute cannot be resolved through negotiation, either party may submit the matter to mediation under the rules of an internationally recognised dispute resolution body.

If mediation fails within 60 days of initiation, the dispute shall be resolved exclusively by the courts and enforcement agencies of Istanbul, Republic of Türkiye.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Türkiye, without regard to its conflict of laws principles.

22. Modifications to Terms

We may modify these Terms from time to time. Material changes will be communicated via email and an in-platform notification at least 30 days before the effective date.

Your continued use of the Platform after the effective date of any modification constitutes acceptance of the revised Terms.

23. General Provisions

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and TradeMire regarding the Platform.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary while preserving the remaining provisions.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. TradeMire may assign these Terms in connection with a corporate transaction.

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and TradeMire.
